Registration of amendments to the constitutive documents of GIE and GEIE according to the provisions of Council Regulation (EEC) No. 2137/1985, Law no. 161/2003 (Book I, Title V, Chapter I, Section II) and GEO no. 119/2006 on:
- any amendment to the constitutive act of the group, including any change in the composition of the group;
- the establishment or dissolution of any branches, representative offices and other entities without legal personality;
- the court decision declaring the nullity of the group;
- the decision to appoint the administrator or administrators of the group, their names/designations, stating whether the administrators may act individually or together, as well as the termination of their duties;
- the full or partial assignment of a member's shares of interest;
- the decision of the members of the group or the court decision to dissolve the group;
- the decision appointing the group’s liquidators, their names/designations, as well as the termination of their duties;
- the termination of the group’s liquidation;
- the proposal to move the headquarters to a foreign country;
- the clause under which new members are exempted from paying the group’s debts incurred prior to joining the group.

According to art. 112 para. (1) and (2) of Law no. 265/2022 regarding the trade register and for the amendment and completion of other normative acts affecting registration in the trade register, “(1) Against the registrar’s decision pronounced under art. 108 or, as the case may be, under art. 110, the applicant may file a complaint within 10 calendar days from the communication of the decision, if he/she requested communication via the methods provided in art. 111 para. (1) letter b) and c). In these cases, the applicant may also file a complaint from the date of the publication of the decision in the Bulletin, if it precedes the communication.
(2) In the case provided under art. 111 para. (1) letter a), if the decision is not collected from the counter within the documentation release period, the applicant may file a complaint within 10 days from the date of the publication of the decision in the Bulletin.”
The complaint shall be submitted, in the case of legal entities, to the trade register office, which will record it in the trade register and will communicate it to the court/specialized court within three working days from the date of submission.
