The application for registration in the trade register and for authorizing the operation of the branch is submitted to the trade register office attached to the tribunal in whose territorial area the applicant establishes its registered office, directly at the counter, by correspondence or online through the ONRC online services portal myportal.onrc.ro. The formalities for registration are available on the ONRC website https://www.onrc.ro/index.php/ro/inmatriculari/persoane-juridice-sucursale .
The registration in the trade register of the branch is done based on the reasoned decision of the trade register registrar. The period for issuing the registration certificate is 3 working days, calculated from the date of registration of the application or, as the case may be, from the date of completion of the application with the requested documents.
For registration operations in the trade register, no fees or charges are collected, but a fee is charged for publication in the Official Gazette of
Romania, Part IV, for the publication of the decision / extract of the decision ordering the registration and authorization of functioning, which can be paid at the counter (in cash or by bank card), by postal order or payment order. According to art. 112 paragraphs (1) and (2) of Law no. 265/2022 regarding the trade register and for the amendment and completion of other normative acts with an impact on registration in the trade register, "(1)Against the registrar's ruling issued according to art. 108 or, as applicable, according to art. 110, the applicant may file a complaint within 10 calendar days from the communication of the ruling, if he requested communication by the methods provided in art. 111 paragraph (1) letters b) and c). In such cases, the applicant may also file a complaint from the date of publication of the ruling in the Bulletin, if this precedes the communication.
(2)In the case provided in art. 111 paragraph (1) letter a), if the ruling is not collected from the counter within the timeframe for document release, the applicant may file a complaint within 10 days from the date of publication of the ruling in the Bulletin.”
The complaint must be submitted, in the case of legal persons, to the trade register office, which will record it in the trade register and communicate it to the court/specialized court within three working days from the date of submission.
